1. Definitions and Scope

1.1. These Terms apply to the rights and obligations of users of the service available at app.ultimatelabs.io and any associated domains or subdomains (collectively, the “Platform”), as well as the informational website at ultimatelabs.io (the “Site”).

1.2. Ultimate Labs Ltd is a company registered in England and Wales. The Platform provides an AI-powered informational interface that aggregates and displays data from publicly available blockchain networks and decentralised protocols. The Platform is an interface layer only — it does not hold, custody, transfer, or execute transactions involving digital assets on your behalf.

1.3. You must be at least 18 years old or the age of majority in your jurisdiction, whichever is greater, and have the legal capacity to enter into a binding agreement. If you are acting on behalf of a legal entity, you represent that you have authority to bind that entity to these Terms.

2. Nature of the Platform

2.1. The Platform is an informational and analytical tool. It displays data aggregated from third-party sources, including blockchain networks, decentralised protocols, and market data providers. Any actions proposed by the Platform (such as transactions, swaps, or bridges) are suggestions only and require your explicit approval and wallet signature before execution.

2.2. Ultimate Labs does not act as a broker, exchange, custodian, or financial intermediary. We do not hold, control, or have access to your digital assets, private keys, or wallet credentials at any time.

2.3. The Platform operates on a “propose, never execute” principle. All transaction proposals presented through the interface require your independent review and wallet-level authorisation. Ultimate Labs cannot initiate, modify, or reverse any blockchain transaction on your behalf.

2.4. Any interaction between you and third-party protocols accessed through the Platform is entirely between you and those protocols. Ultimate Labs is not a party to any such interaction.

3. No Financial Advice

3.1. The information provided on the Platform and Site does not constitute financial, investment, tax, or legal advice of any kind. You should not treat any content displayed on the Platform as a recommendation to buy, sell, hold, or otherwise deal in any digital asset.

3.2. Ultimate Labs is not affiliated with, responsible for, or liable in respect of any cryptocurrency, token, or digital asset displayed on the Platform. Market data, prices, yields, and other metrics are sourced from third parties and may be inaccurate, delayed, or incomplete.

3.3. You are solely responsible for conducting your own research and due diligence. We strongly recommend consulting qualified financial and legal advisers before making any decisions relating to digital assets.

4. Risk Disclosure

4.1. Blockchain technologies and digital assets involve significant risks, including but not limited to: market volatility, liquidity risk, smart contract vulnerabilities, regulatory uncertainty, and technological failure.

4.2. Data displayed on the Platform — including prices, portfolio values, yields, and transaction estimates — is provided for informational purposes only and may not reflect real-time conditions. You acknowledge that any reliance on such data is at your own risk.

4.3. We do not assume any risks associated with your use of the Platform or your interactions with third-party protocols, networks, or services. The risks listed here are not exhaustive; other risks may exist that are not currently known.

5. User Obligations

5.1. By accessing the Platform, you confirm that:

• you are eligible to use the Platform in accordance with these Terms and applicable law;
• these Terms are valid, binding on you, and enforceable against you;
• your jurisdiction permits your use of the Platform;
• you are not subject to any sanctions administered by the UK, EU, US, UN, or any other applicable authority;
• you will maintain the security of your wallet credentials and private keys;
• any smart contracts or protocols you interact with through the Platform are entirely your own responsibility.

6. Prohibited Use

6.1. You agree not to use the Platform to:

• violate any applicable law, including anti-money laundering, counter-terrorism financing, and data protection laws;
• engage in any unlawful, fraudulent, or deceptive activity;
• infringe any intellectual property or other third-party rights;
• interfere with, disrupt, or overburden the Platform or its infrastructure;
• attempt to circumvent any security measures employed by the Platform;
• use automated means (bots, scrapers, crawlers) to access or extract data from the Platform without our prior written consent;
• introduce malicious software, viruses, or other harmful code.

7. Limitation of Liability

7.1. The Platform and Site are provided on an “as is” and “as available” basis without warranties of any kind, whether express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, and non-infringement.

7.2. Ultimate Labs shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or digital assets, arising from or in connection with your use of the Platform, regardless of the form of action and whether or not such damages were foreseeable.

7.3. We do not guarantee that the Platform will be uninterrupted, error-free, or free from vulnerabilities. We accept no responsibility for temporary unavailability of the Platform due to technical issues, maintenance, or circumstances beyond our reasonable control.

7.4. Ultimate Labs shall not be liable for the accuracy, reliability, or completeness of any data received from third-party sources displayed on the Platform.

8. Intellectual Property

8.1. The “Ultimate Labs” name, logo, and all content published on the Site and Platform are the property of Ultimate Labs Ltd or its licensors. Your use of the Platform does not grant you ownership of any intellectual property rights.

8.2. You may not reproduce, distribute, modify, or create derivative works from any content on the Platform without prior written consent.

9. Modifications to These Terms

9.1. We reserve the right to modify these Terms at any time. Changes will take effect immediately upon posting to the Site. Your continued use of the Platform after any modification constitutes acceptance of the updated Terms.

10. Governing Law and Jurisdiction

10.1. These Terms are governed by and construed in accordance with the laws of England and Wales.
